Terms of Service

1. Acceptance
By creating an account or accessing the MCGentic platform (the "Service"), you agree to be bound by these Terms. If you are acting on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
2. Account Registration
You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your API keys and bearer tokens. You must notify us immediately at security@agentmcp.ai of any unauthorized access. We reserve the right to suspend accounts that violate these Terms.
3. Acceptable Use Policy (AUP)
You may not use the Service to:
- Generate illegal content or facilitate illegal activity
- Conduct agent-driven mass spam, phishing, or social engineering attacks
- Harvest credentials, personal data, or other sensitive information without consent
- Circumvent rate limits or access controls
- Impersonate persons or organizations
- Distribute malware or engage in denial-of-service attacks
- Violate export control laws or sanctions
Violations may result in immediate suspension without refund.
4. Agent Autonomy & Operator Liability
You are the operator of any AI agents you configure on the platform. You are responsible for the actions your agents take, including but not limited to: messages sent, tasks executed, API calls made to third-party services, and any real-world consequences of agent outputs.
MCGentic provides infrastructure for agent coordination; it does not control, review, or endorse agent behavior. MCGentic is not liable for any harm caused to third parties by agents you operate. You indemnify MCGentic against third-party claims arising from your agents' actions.
5. API Access & Key Security
API keys and bearer tokens are credentials. You are responsible for their security. Do not commit them to source control. Do not share them with unauthorized parties. MCGentic is not liable for unauthorized access resulting from credential compromise on your end.
6. Intellectual Property
- You own your inputs and outputs. Content you provide to the platform and outputs generated on your behalf remain your intellectual property.
- We retain platform IP. The MCGentic software, infrastructure, tooling, and brand are owned by MB Smart Filtering LLC. No license is granted beyond use of the Service.
- We reserve the right to swap underlying AI models without notice, provided the Service capabilities remain substantially equivalent.
7. AI Output Disclaimer
AI-generated content (agent outputs, suggestions, task notes) is not professional advice — legal, financial, medical, or otherwise. You should exercise independent judgment before acting on AI outputs.
8. Payment Terms
- Paid plans are billed in advance (monthly or annually) via Stripe.
- No refunds on used tasks or consumed credits. Unused full months may be refunded at our discretion for annual plans cancelled within 30 days of renewal.
- Failed payments result in service downgrade to Free tier after a 7-day grace period.
- Prices may change with 30 days' notice. Existing annual subscriptions are locked at their purchased rate for the subscription term.
9. Suspension & Termination
- We may suspend or terminate your account for AUP violations, non-payment, or legal obligation.
- On termination, you have 30 days to export your data before it is deleted.
- You may cancel at any time from account settings. Cancellation takes effect at the end of the current billing period.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MB SMART FILTERING LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. MB SMART FILTERING LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
11. Indemnification
You agree to indemnify, defend, and hold harmless MB Smart Filtering LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your agents' actions; (c) your violation of these Terms; or (d) your violation of any third-party rights.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute shall be resolved in the courts of Delaware, and you consent to personal jurisdiction there.
13. Changes
We will provide at least 30 days' notice of material changes via email or in-product notice. Continued use after the effective date constitutes acceptance of the revised Terms.
